These Terms of Service ("Terms") govern the relationship between Royal South Management Consulting ("Company") and its clients ("Client") regarding all consulting services provided by the Company. By engaging the Company for services, the Client agrees to be bound by these Terms.
1. SERVICES
- The Company will provide consulting services as agreed upon in individual contracts or service agreements. The specific scope of work, deliverables, and timeline for each project will be detailed in a separate written agreement between the Company and the Client.
2. PAYMENT TERMS
- Invoicing: The Company will issue an invoice upon signing of the service agreement, detailing the payment terms specific to the service provided.
- Payment Schedule: All payments are due as specified in the individual service agreement. Failure to make timely payments may result in a suspension of services.
- Late Payments: Invoices not paid by their due date may incur a late fee of 5% per month on the outstanding amount until paid in full.
- Refunds: Payments made in advance are non-refundable unless otherwise specified in the service agreement.
3. CLIENT OBLIGATIONS
- The Client agrees to provide the Company with all necessary information, access, and cooperation required to complete the agreed services in a timely and efficient manner.
- Any delays caused by the Client (e.g., withholding information or unresponsiveness) that affect project timelines or deliverables may result in adjustments to the timeline or additional fees.
4. CONFIDENTIALITY
- Both the Company and the Client agree to keep all non-public information confidential and not to disclose it to any third party without the other party’s written consent, except as required by law.
- Confidentiality obligations will survive the termination of any service agreement for a period of 10 years.
5. INTELLECTUAL PROPERTY
- All reports, materials, and deliverables created by the Company during the provision of consulting services will remain the property of the Company until full payment is received. Upon payment, the Client will have the right to use the deliverables as intended.
- The Company retains the right to use non-confidential aspects of the work produced for portfolio or marketing purposes.
6. LIMITATION OF LIABILITY
- The Company will not be liable for any indirect, incidental, or consequential damages arising from or related to the services provided.
- The Company's total liability for any claim arising from or related to the services provided will not exceed the fees paid by the Client for those services.
7. TERMINATION
- Either party may terminate the service agreement by providing written notice of 14 days. In the event of termination, the Client will pay for all work completed up until the termination date.
- If the Client terminates the agreement after work has begun, any advance payments made are non-refundable unless otherwise specified.
8. FORCE MAJEURE
- The Company is not liable for delays or failures to perform its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, strikes, or changes in law.
9. GOVERNING LAW AND DISPUTE RESOLUTION
- These Terms are governed by the laws of Belgium, without regard to its conflict of law principles.
- Any disputes arising from these Terms or the services provided shall be resolved through good faith negotiations between both parties. If unresolved, disputes may be brought to arbitration or court as agreed in the service agreement.
10. MODIFICATIONS TO TERMS
- The Company reserves the right to modify these Terms at any time. Any changes will be communicated to Clients and will become effective upon posting to the Company’s website or by direct notification.
11. ACCEPTANCE OF TERMS
By engaging the Company’s services, the Client acknowledges they have read, understood, and agree to these Terms of Service.
